End-User License Agreement of Htwet Toe

This End-User License Agreement ("EULA") is a legal agreement between you and Village Link Company Limited. Our EULA was created by EULA Template for Htwet Toe.
This EULA agreement governs your acquisition and use of our Htwet Toe software ("Software") directly from Village Link Company Limited or indirectly through a Village Link Company Limited authorized reseller or distributor (a "Reseller").
Please read this EULA agreement carefully before completing the installation process and using the Htwet Toe software. It provides a license to use the Htwet Toe software and contains warranty information and liability disclaimers.
By clicking "accept" or installing and/or using the Htwet Toe software, you are confirming your acceptance of the Software and agreeing to become bound by the terms of this EULA agreement.
If you are entering into this EULA agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity and its affiliates to these terms and conditions. If you do not have such authority or if you do not agree with the terms and conditions of this EULA agreement, do not install or use the Software, and you must not accept this EULA agreement. This EULA agreement shall apply only to the Software supplied by Village Link Company Limited herewith regardless of whether other software is referred to or described herein. The terms also apply to any Village Link Company Limited updates, supplements, Internet-based services, and support services for the Software, unless other terms accompany those items on delivery. If so, those terms apply.

License Grant

Village Link Company Limited hereby grants you a personal, non-transferable, non-exclusive licence to use the Htwet Toe software on your devices in accordance with the terms of this EULA agreement.
You are permitted to load the Htwet Toe software (for example a PC, laptop, mobile or tablet) under your control. You are responsible for ensuring your device meets the minimum requirements of the Htwet Toe software.
You are not permitted to:

  • Edit, alter, modify, adapt, translate or otherwise change the whole or any part of the Software nor permit the whole or any part of the Software to be combined with or become incorporated in any other software, nor decompile, disassemble or reverse engineer the Software or attempt to do any such things
  • Reproduce, copy, distribute, resell or otherwise use the Software for any commercial purpose
  • Allow any third party to use the Software on behalf of or for the benefit of any third party
  • Use the Software in any way which breaches any applicable local, national or international law
  • use the Software for any purpose that Village Link Company Limited considers is a breach of this EULA agreement

Htwet Toe Community Guidelines

Your use of Htwet Toe is expressly conditioned upon your agreement to these Htwet Toe Community Guidelines. If you do not consent to these, you are not permitted to use any Services.
You agree to:

Respect other users
We are a community of many types of agriculturists, who all have the right to feel comfortable and who may not think what you think, believe what you believe, or see what you see. So, be polite and respectful in your interactions with other members.


Only upload content that you have created.
Respect the copyright of others. This means do not steal photos or contents that other people have shared and pass them off as your own.


Moderate your content.
All contents on Htwet Toe, whether public or private, will be subject to moderation as per our safety and content filters.


Don’t post objectionable contents
Bear in mind that we have monitoring and moderation tools to detect and prevent defamatory, discriminatory, or mean-spirited content, including references or commentary about religion, race, sexual orientation, gender, national/ethnic origin, or other targeted groups. Htwet Toe is all about agricultural communities and we don’t tolerate hate speech towards any specific group. Objectionable contents include:


  1. Hate speech or mean-spirited contents targeted at specific groups
  2. Curse words, profanities, harassment, defamation, threats and abusive language
  3. Overtly sexual or pornographic material
  4. Inflammatory religious commentary or inaccurate or misleading quotations of religious texts
  5. Child exploitation: materials that exploit or abuse children, including but not limited to images or depictions of child abuse or sexual abuse, or that present children in a sexual manner
  6. Illegal activities: materials that contravene or that facilitate or promote activities that contravene, the laws of the jurisdictions in Myanmar

Do note that if you or the contents you upload do not comply with our community guidelines, we will take action to remove them or ban you from using our services in the future. All users will be given a button to report or flag inappropriate contents.


Intellectual Property and Ownership

Village Link Company Limited shall at all times retain ownership of the Software as originally downloaded by you and all subsequent downloads of the Software by you. The Software (and the copyright, and other intellectual property rights of whatever nature in the Software, including any modifications made thereto) are and shall remain the property of Village Link Company Limited
Village Link Company Limited reserves the right to grant licenses to use the Software to third parties.


Termination

This EULA agreement is effective from the date you first use the Software and shall continue until terminated. You may terminate it at any time upon written notice to Village Link Company Limited.
It will also terminate immediately if you fail to comply with any term of this EULA agreement. Upon such termination, the licenses granted by this EULA agreement will immediately terminate and you agree to stop all access and use of the Software. The provisions that by their nature continue and survive will survive any termination of this EULA agreement.


Indemnity

In addition to and without limiting the scope, you agree that we are not responsible for the actions, services, content, or data of third parties and you release us, our directors, officers, employees, and agents from any claims and damages, known or unknown, arising out of or in any way connected with any claim you have against any such third parties. If anyone brings a claim, cause of action, or dispute against us related to your services, actions, content or information on Htwet Toe or other Village Link Products or your use of any Htwet Toe Products, you agree to indemnify and hold us harmless from and against any damages, losses, and expenses of any kind (including reasonable legal fees and costs) related to any such claim, cause of action, or dispute.


Governing Law

This EULA agreement, and any dispute arising out of or in connection with this EULA agreement, shall be governed by and construed in accordance with the laws of Myanmar.
